By accessing or using our service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the service. Your use of the platform constitutes acceptance of these Terms.

Description of Service

DENTYPLI provides a same-day delivery platform for dental supplies, connecting dental practices with a comprehensive product catalog of 15,000+ items. Our services include:

• Product browsing and ordering
• Same-day and express delivery options
• Real-time order tracking
• Price comparison tools
• Auto-replenishment scheduling
• AI-powered customer support
• Account and team management

Account Registration & Responsibilities

Account Creation

• You must provide accurate and complete information during registration
• You must be authorized to make purchases on behalf of a dental practice
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access
• One account per practice unless authorized for multi-location management

Account Termination

We reserve the right to suspend or terminate accounts that:

• Violate these Terms
• Engage in fraudulent activity
• Provide false or misleading information
• Remain inactive for more than 24 months

Acceptable Use Policy

Orders & Purchasing

Order Acceptance

All orders are subject to acceptance. We reserve the right to refuse or cancel any order for reasons including:

• Product unavailability or stock limitations
• Pricing or product information errors
• Suspected fraudulent activity
• Delivery address outside our service area
• Failure to meet credit or payment requirements

Pricing

• All prices are in USD and subject to change without notice
• Prices displayed at checkout are final (includes delivery fees and taxes)
• Volume discounts apply as stated in your plan tier
• We reserve the right to correct pricing errors

Delivery

• Same-Day Delivery: Orders placed before 2 PM are delivered within 2-4 hours
• Express Delivery: Orders delivered within 2 hours (subject to plan tier)
• Delivery timeframes are estimates and not guarantees
• We are not liable for delays caused by weather, traffic, or force majeure
• You must provide a safe delivery location and authorized recipient

• Net-60 payment terms (DSO tier only, subject to credit approval)

Billing

• Payments are processed securely via Stripe
• You authorize recurring charges for subscription fees
• Subscription fees are billed monthly in advance
• Order charges are processed at the time of purchase
• Failed payments may result in service suspension

Subscription Tiers

• Solo Practice: Free tier with basic features
• Group Practice: $79/month with enhanced features
• DSO & Networks: Custom pricing based on requirements

Returns & Refunds

• Unopened products may be returned within 30 days of delivery
• Defective products eligible for replacement or refund
• Subscription fees covered by our 30-Day Money-Back Guarantee

The DENTYPLI platform, including all content, features, functionality, and branding, is owned by DENTYPLI and protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

License to Use

We grant you a limited, non-exclusive, non-transferable license to access and use our platform for its intended purpose. You may not:

• Copy, modify, or distribute our content without permission
• Use our trademarks or branding without authorization
• Reverse engineer or decompile our software
• Remove copyright or proprietary notices

Disclaimers

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DENTYPLI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the service
• Any conduct or content of third parties on the service
• Unauthorized access to or alteration of your data
• Product defects or quality issues
• Delivery delays or failures

Our total liability for any claims arising from these Terms or your use of the service shall not exceed the greater of $100 USD or the amount you paid us in the 12 months prior to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless DENTYPLI, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the service
• Your violation of these Terms
• Your violation of any rights of another party
• Your breach of any applicable laws or regulations

Governing Law & Dispute Resolution

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Sending email notification (for substantial changes)

Your continued use of the service after changes constitute acceptance of the updated Terms. If you do not agree with the changes, you must stop using the service and close your account.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
